INDEMNITY TO TENANT WHERE TITLE OF THE LANDLORD IS IN DISPUTE
THIS DEED OF INDEMNITY is made on the ____ day of ______
BETWEEN
______________________________________________, hereinafter called and referred to as the Lessor (which expression shall wherever the context so permits, include the said Lessor, its co-parcenors, their legal heirs, legal representatives, executors, administrators and assigns) of the FIRST PART
AND
____________________________________________ a company registered under the Companies Act, 1956 and having its registered office at ____________________________ hereinafter called and referred to as "the Lessee" (which expression shall, unless otherwise required by the context, mean and include, its successors, executors and permitted assigns) of the SECOND PART
WHEREAS the Lessor and the Lessee had entered into a lease deed on the ____ day of __ with respect to the property situated at _____(premises);
AND WHEREAS there is a dispute pending between the Lessor and his brother as to the title to the premises;
AND WHEREAS the Lessee has agreed to pay to the Lessor the rent for the said premises, which is in arrears till this date, subject to the Lessor agreeing to indemnify the Lessee in respect thereof, in case the need arises.
NOW THIS DEED WITNESSES that in consideration of the Lessee agreeing to pay the said rent to the Lessor, the Lessor hereby covenants with the Lessee that the Lessor will repay on demand to the Lessee all such rent, sums of money, costs and damages as the Lessee or its assigns shall by due process of law or otherwise be compelled to pay and all costs and damages which they shall otherwise sustain by reason of their paying the said rent to the Lessor in the manner aforesaid.
